Terms of Service & Commercial SLA

These Terms of Service ("Terms") govern all commercial engagements, site audits, annual maintenance contracts (AMCs), service level agreements (SLAs), and engineering services provided by 96K VENTURES ("Company") to clients, commercial tech parks, industrial facilities, and gated communities ("Client").

Issuance of a Purchase Order (PO), execution of an SLA proposal, or permitting technical crews onto client premises constitutes binding acceptance of these Terms under the Indian Contract Act, 1872.

• Pricing & Quotations: All service quotes, AMC fee schedules, and equipment pricing are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise. Applicable GST (18% or prescribed statutory rate) will be levied on tax invoices.
• Payment Terms: Invoices issued by 96K VENTURES are payable within thirty (30) days from invoice date. Delayed payments beyond the due date attract interest at 18% per annum under the MSME Development Act / commercial custom.
• Tax Deduction at Source (TDS): Clients deducting TDS under Section 194C / 194J of the Income Tax Act, 1961 must issue Form 16A certificates quarterly.

To ensure safe and timely execution of engineering work, the Client agrees to:

• Provide unhindered, safe access to electrical substations, breaker panels, STP/WTP plants, and work areas.
• Provide statutory work permits (e.g., hot work permits, shutdown approvals, high-voltage isolation clearances) prior to technical execution.
• Maintain safe working environments compliant with the Factories Act / Shops and Commercial Establishments Act.

To the maximum extent permitted by applicable law, the aggregate liability of 96K VENTURES arising out of or related to any service contract, whether in contract, tort, or statutory breach, shall be capped at the actual service fee received by the Company for the specific service instance giving rise to the claim.

The Company shall not be liable for indirect, consequential, or grid-failure damages caused by utility provider power surges, grid outages, or client equipment age exceeding manufacturer lifespan.

These Terms and any SLA agreements executed under them shall be governed by and construed in accordance with the laws of India. Any disputes or claims arising out of or in connection with services rendered shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
